ProFix (the “Platform”) is owned and operated by Surdam Ltd, a limited company incorporated and registered in England and Wales under company number 13121614, with its registered office at Unit 3 Triangle Centre, Uxbridge Road, Southall, England, UB1 3EJ and principal place of business at Unit 3 Triangle Centre, Uxbridge Road, Southall, England, UB1 3EJ (“we”, “us”, or “our”). These Terms and Conditions (“Terms”) govern your access to, use of, and subscription to the Platform, including all services provided through our website at https://profix.co.uk (the “Website”). By accessing, browsing, registering for, or using the Platform, you confirm that you have read, understood, and agree to be legally bound by these Terms and all applicable laws and regulations.

These Terms form a legally binding agreement between you and Surdam Ltd. If you do not agree to these Terms, you must not use or access the Platform. We recommend that you print or save a copy of these Terms for your records.

1. Definitions and Interpretation

1.1 In these Terms, unless the context otherwise requires, the following definitions apply:

  • “Business”: A tradesperson, sole trader, partnership, or company subscribing to the Platform to be listed in our online directory for visibility to Customers.
  • “Customer”: An individual or entity accessing the Platform to search for and engage a Business for trade services.
  • “Subscription”: The paid service provided by us, enabling a Business to create and maintain a profile on the Platform, visible to Customers.
  • “Subscription Fee”: The fee payable by a Business for a Subscription, as specified on the Website at the time of purchase or renewal.
  • “Content”: All text, images, logos, data, and other materials uploaded or provided by a Business for inclusion in their profile or otherwise submitted to the Platform.
  • “User”: Any person or entity accessing or using the Platform, including Businesses and Customers.

1.2 References to clauses are to clauses in these Terms. Headings are for convenience only and do not affect interpretation. Words in the singular include the plural and vice versa. Any reference to a statute or statutory provision includes any amendments, re-enactments, or replacements thereof.

 

2. Eligibility and Registration

2.1 To be eligible to subscribe to the Platform, you must:

  • Be a registered business, sole trader, or partnership lawfully operating in the United Kingdom;
  • Pass our verification and background checks, which may include but are not limited to identity verification, professional qualifications, insurance status, and criminal record checks;
  • Provide accurate, complete, and current information during the registration process;
  • Be at least 18 years of age and have the legal capacity to enter into binding contracts.

2.2 Upon registration, you must create an account and provide details such as your business name, contact information, trade qualifications, and payment details. You agree to keep this information accurate and up-to-date at all times and to notify us promptly of any changes via your account settings or by contacting us at info@surdamltd.co.uk.

2.3 We reserve the right, at our sole discretion, to:

  • Refuse registration or a Subscription to any applicant who does not meet our eligibility criteria or provides incomplete, inaccurate, or misleading information;
  • Suspend or terminate a Subscription if we reasonably believe you no longer meet our eligibility criteria or have breached these Terms.

2.4 You are responsible for maintaining the confidentiality of your account login credentials and for all activities that occur under your account. You must notify us immediately at info@surdamltd.co.uk if you suspect any unauthorised access to or use of your account.

 

3. Subscription Services

3.1 Upon successful registration and payment of the Subscription Fee, we will activate your business profile, making it visible to Customers on the Platform. The profile may include details such as your business name, contact information, trade services offered, qualifications, and customer reviews (if applicable).

3.2 Subscriptions are offered on a rolling basis and may be monthly, quarterly, or annual, as selected by you during registration. Unless cancelled in accordance with Clause 6, your Subscription will automatically renew for successive periods of the same duration as the initial term.

3.3 We may, at our discretion, offer additional features or services as part of a Subscription, such as enhanced profile visibility or promotional tools. Any such features will be subject to these Terms and any additional terms specified at the time of purchase.

3.4 We reserve the right to modify, suspend, or discontinue any aspect of the Subscription services or the Platform at any time, including the availability of any feature or content. We will provide at least 30 days’ prior written notice (via email or the Website) of any material changes to the Subscription services or Subscription Fees. If such changes materially reduce the functionality of the Platform, you may terminate your Subscription in accordance with Clause 6 without penalty.

3.5 The Platform acts solely as a directory to connect Businesses with Customers. We do not guarantee any volume of Customer enquiries, bookings, or revenue as a result of your Subscription.

 

4. Payment Terms 

4.1 All payments for Subscription Fees are processed securely through our third-party payment providers, either Stripe or GoCardless, in accordance with their respective terms of service, available at https://stripe.com/gb/legal for Stripe and https://gocardless.com/legal/ for GoCardless. By subscribing, you agree to comply with the terms and any applicable payment processing policies of the chosen payment provider. Stripe processes recurring subscription payments via payment cards (e.g., credit or debit cards), while GoCardless processes direct debit payments from your bank account. The payment method (subscription or direct debit) will depend on the provider selected, as indicated on our website. 

4.2 The Subscription Fee is payable in advance, either monthly or annually as specified on our website, in pounds sterling, and is exclusive of any applicable taxes (e.g., VAT), which will be charged at the prevailing rate as indicated during the checkout process. 

4.3 You authorise us to charge the Subscription Fee to your chosen payment method (e.g., credit card, debit card for Stripe, or bank account for GoCardless) at the start of each subscription or direct debit period. You must ensure that sufficient funds are available to cover the Subscription Fee. If a payment fails, we may: 

  • Suspend your Subscription and deactivate your profile until payment is received; 
  • Charge a reasonable administration fee to cover costs associated with failed payments; 
  • Take reasonable steps to recover overdue amounts, including engaging third-party collection agencies. 

4.4 We will issue an electronic receipt or invoice for each payment, accessible via your account or sent to the email address associated with your account. 

4.5 If we increase the Subscription Fee, we will notify you at least 30 days in advance. If you do not agree to the revised fee, you may cancel your Subscription in accordance with Clause 6 before the increase takes effect.

 

5. No Refunds Policy

5.1 Non-Refundable Fees: Upon payment of the Subscription Fee, your business profile is immediately activated and made visible to Customers on the Platform. Due to the instantaneous nature of this service, all Subscription Fees are non-refundable, except as required by applicable law (e.g., under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, where applicable).

5.2 No refunds will be provided for:

  • Partial or unused subscription periods;
  • Early cancellation of a Subscription;
  • Non-use of the Platform or failure to attract Customer enquiries;
  • Removal of your profile due to a breach of these Terms.

5.3 If you believe you are entitled to a refund under applicable law or due to an error on our part (e.g., duplicate billing), you must contact us at info@surdamltd.co.uk within 14 days of the relevant payment, providing full details of your claim. We will review your request in good faith and respond within a reasonable timeframe, but any decision to issue a refund remains at our sole discretion, subject to legal obligations.

5.4 For the avoidance of doubt, the non-refundable nature of the Subscription Fee does not affect your statutory rights, including any rights under consumer protection laws, if applicable.

 

6. Cancellation and Termination

6.1 Cancellation by You: You may cancel your Subscription at any time by:

  • Accessing the cancellation feature in your account settings on the Website; or
  • Contacting us at info@surdamltd.co.uk with a clear request to cancel.

Cancellation will take effect at the end of the current subscription period (e.g., at the end of the current month for a monthly Subscription). Your profile will remain active, and you will continue to have access to the Platform, until the end of the paid period. No pro-rata refunds will be provided for the remaining period.

6.2 Cancellation by Us: We may cancel or suspend your Subscription with immediate effect, without liability, if:

  • You fail to pay the Subscription Fee when due;
  • You materially breach these Terms, including providing false or misleading information;
  • We reasonably believe your conduct is harmful to the Platform, its Users, or our reputation;
  • We are required to do so by law or a regulatory authority;
  • We decide to discontinue the Platform or a material part of the Subscription services (in which case we will provide reasonable notice where practicable).

6.3 Upon cancellation or termination, your profile will be deactivated, and you will lose access to your account and any associated data. We may retain certain data as required by law or for legitimate business purposes, in accordance with our Privacy Policy.

6.4 Clauses that, by their nature, are intended to survive termination (e.g., Clauses 5, 9, 10, and 12) will continue to apply after cancellation or termination.

 

7. Your Obligations and Conduct

7.1 As a Business subscribing to the Platform, you agree to:

  • Provide accurate, lawful, and non-misleading Content for your profile, including details of your qualifications, insurance, and services;
  • Regularly review and update your profile to ensure its accuracy;
  • Comply with all applicable laws, regulations, and professional standards in your trade and in your interactions with Customers;
  • Respond promptly and professionally to Customer enquiries received through the Platform;
  • Not use the Platform for any unlawful, fraudulent, or unethical purpose, including misrepresenting your services or qualifications;
  • Not engage in any activity that could harm the reputation of the Platform, such as posting offensive or defamatory Content;
  • Not attempt to circumvent the Platform by directly soliciting Customers to avoid our services.

7.2 You are solely responsible for:

  • The quality, safety, and legality of the services you provide to Customers;
  • Any agreements, contracts, or disputes arising between you and Customers. We are not a party to such agreements and have no liability in connection therewith;
  • Obtaining and maintaining appropriate insurance, licences, and certifications required for your trade.

7.3 You acknowledge that we may, at our discretion, monitor or review your profile and Content to ensure compliance with these Terms. We reserve the right to remove or edit any Content that breaches these Terms or is otherwise objectionable, without prior notice.

 

8. Intellectual Property

8.1 All content, materials, and intellectual property on the Platform, including but not limited to text, graphics, logos, images, software, and database structures, are owned by or licensed to Surdam Ltd and are protected by copyright, trademark, and other intellectual property laws.

8.2 You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform solely for the purpose of your Subscription, subject to these Terms. You may not copy, modify, distribute, or create derivative works from any part of the Platform without our prior written consent.

8.3 By uploading Content to the Platform, you grant us a worldwide, non-exclusive, royalty-free, perpetual licence to use, store, display, reproduce, and distribute such Content for the purpose of operating, promoting, and improving the Platform. You warrant that you own or have the necessary rights to grant this licence and that the Content does not infringe any third-party rights.

8.4 You must not use any trademarks, logos, or branding associated with ProFix or Surdam Ltd without our prior written consent, except as expressly permitted in connection with your Subscription.

 

9. Limitation of Liability

9.1 To the fullest extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive losses or damages arising from or in connection with your use of the Platform, including but not limited to loss of profits, revenue, business opportunities, goodwill, or data, whether arising in contract, tort (including negligence), or otherwise.

9.2 Our total aggregate liability to you for any claim arising under or in connection with these Terms, whether in contract, tort (including negligence), or otherwise, shall be limited to the total Subscription Fees paid by you to us in the 12 months immediately preceding the event giving rise to the claim.

9.3 We do not guarantee:

  • The availability, accuracy, or completeness of the Platform or any Content;
  • That the Platform will be uninterrupted, error-free, or free from viruses or other harmful components;
  • Any specific results, such as Customer enquiries or bookings, from your use of the Platform.

9.4 Nothing in these Terms excludes or limits our liability for:

  • Death or personal injury caused by our negligence;
  • Fraud or fraudulent misrepresentation;
  • Any other liability that cannot be excluded or limited under applicable law.

9.5 The Platform may contain links to third-party websites or services (e.g., Stripe). We are not responsible for the content, accuracy, or practices of such third-party sites, and your use of them is at your own risk.

 

10. Indemnity

10.1 You agree to indemnify, defend, and hold harmless Surdam Ltd, its affiliates, directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising out of or in connection with:

  • Your breach of these Terms;
  • Your use or misuse of the Platform;
  • Your Content, including any infringement of third-party intellectual property rights;
  • Your interactions, agreements, or disputes with Customers;
  • Any violation of applicable laws or regulations by you.

10.2 We reserve the right to assume the exclusive defence and control of any matter subject to indemnification by you, in which case you agree to cooperate fully with us in asserting any available defences.

 

11. Data Protection and Privacy

11.1 We process personal data in accordance with our Privacy Policy, available at https://profix.co.uk/privacy-policy/, and in compliance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.

11.2 By using the Platform, you consent to the collection, use, and sharing of your personal data as described in our Privacy Policy. You are responsible for ensuring that any personal data you provide (e.g., in your profile or communications with Customers) complies with data protection laws.

11.3 You must not collect, process, or store Customer personal data obtained through the Platform except as necessary to provide your services and in compliance with applicable data protection laws. You agree to implement appropriate technical and organisational measures to protect such data.

 

12. Force Majeure

12.1 We shall not be liable for any failure or delay in performing our obligations under these Terms due to events beyond our reasonable control, including but not limited to acts of God, war, terrorism, strikes, government restrictions, power failures, or failures of third-party service providers (e.g., internet or payment providers).

12.2 If such an event continues for more than 30 days, either party may terminate the Subscription by providing written notice to the other party, and no further Subscription Fees will be charged.

 

13. Amendments to These Terms

13.1 We may amend these Terms at any time to reflect changes in our services, legal requirements, or business practices. We will notify you of any material changes by posting the updated Terms on the Website and, where required by law, by email or through your account at least 30 days before the changes take effect.

13.2 Your continued use of the Platform after the effective date of the updated Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must cancel your Subscription in accordance with Clause 6 before the changes take effect.

 

14. EXEMPLAR: Compliance with Consumer Rights

14.1 If you are a sole trader or partnership (and not a company), the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 may apply to your Subscription. Under these regulations:

  • You may have a 14-day cooling-off period from the date of subscribing during which you can cancel your Subscription and receive a full refund, provided you have not expressly consented to the immediate activation of your profile;
  • By agreeing to these Terms and requesting immediate activation of your profile, you acknowledge that you lose your right to cancel within the 14-day period, as the service is fully performed upon activation;
  • We will provide you with clear information about your cancellation rights (if applicable) at the time of subscription.

14.2 Nothing in these Terms affects your statutory rights under applicable consumer protection laws.

 

15. Governing Law and Jurisdiction

15.1 These Terms and any disputes or claims arising out of or in connection with them (including non-contractual disputes or claims) are governed by and construed in accordance with the laws of England and Wales.

15.2 The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms, except where mandatory consumer protection laws provide otherwise.

 

16. Miscellaneous

16.1 Entire Agreement: These Terms, together with our Privacy Policy and any other documents expressly referenced herein, constitute the entire agreement between you and us regarding the Platform and supersede all prior agreements or understandings.

16.2 Severability: If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be deemed modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall remain in full force and effect.

16.3 No Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision unless expressly acknowledged in writing.

16.4 Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations to another entity, provided we give you reasonable notice.

16.5 Third-Party Rights: Except as expressly provided, these Terms do not confer any rights on third parties under the Contracts (Rights of Third Parties) Act 1999.

16.6 Notices: Any notices required under these Terms must be in writing and sent to us at info@surdamltd.co.uk or Unit 3 Triangle Centre, Uxbridge Road, Southall, England, UB1 3EJ, or to you at the email address associated with your account. Notices are deemed received 48 hours after posting (if sent by mail) or upon confirmation of delivery (if sent by email).
